Terms of Service
RelayHub.ai — Weeks Ahead Ventures, LLC
Welcome to RelayHub.ai (the “Service”), operated by Weeks Ahead Ventures, LLC (“RelayHub,” “we,” “us,” or “our”). By accessing or using our website at relayhub.ai or any associated services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
For enterprise and subscription customers, use of the RelayHub platform is additionally governed by the applicable Master Service Agreement or subscription agreement executed between you and RelayHub, which takes precedence in the event of any conflict with these Terms.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
To access certain features of the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@relayhub.ai if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.
3. Description of Service
RelayHub is a cloud-based platform that enables customers to store, process, and analyze data using configurable workspaces, agents, and integrations. The Service may include access to a web-based application, optional client software, technical documentation, and professional or technical services as described in a separate Statement of Work or Order Form.
RelayHub operates under a Bring Your Own Key (“BYOK”) model for AI capabilities, meaning customers provide their own API keys for third-party AI model providers. Those providers are not sub-processors of RelayHub, and their use is governed by their own terms of service.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Sell, resell, rent, lease, or sublicense access to the Service to any third party without prior written consent.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or non-public APIs of the Service, except to the extent expressly permitted by applicable law.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware, engaging in denial-of-service attacks, or mail flooding.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.
- Incorporate the Service into any competing cloud-based service offering.
5. Customer Data
You retain all right, title, and interest (including intellectual property rights) in and to any data or files you upload to the Service (“Customer Data”). By using the Service, you grant RelayHub a non-exclusive, worldwide, royalty-free right to process Customer Data solely as necessary to provide the Service, prevent or address technical issues, or as required by law.
All Customer Data is treated as your Confidential Information. Our handling of personal data within Customer Data is governed by our Privacy Policy.
6. Intellectual Property
The Service, including all software, documentation, designs, text, graphics, and other content provided by RelayHub, is the exclusive property of Weeks Ahead Ventures, LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
7. Third-Party Services
The Service may allow you to integrate or interact with third-party applications, AI model providers, and other external offerings (“External Offerings”). Your use of any External Offering is at your own risk and subject to that provider's terms and conditions. RelayHub makes no warranties regarding, and assumes no liability for, any External Offering.
8. Fees and Payment
Certain features of the Service require a paid subscription as set forth in an applicable Order Form or subscription agreement. All fees are due in accordance with the payment terms specified therein. Unless otherwise stated, fees are non-refundable except where required by law or as expressly provided in your subscription agreement.
We reserve the right to suspend access to the Service if any fees are more than thirty (30) days overdue, provided that we give you written notice of the overdue amount before suspension.
9. Service Availability and Suspension
We use commercially reasonable efforts to make the Service available, but we do not guarantee uninterrupted access. We may suspend or limit the Service at any time if:
- Suspension is necessary to prevent material harm to RelayHub or its customers.
- You are in breach of these Terms or the Acceptable Use Policy.
- Suspension is required by law or at the request of a governmental entity.
We will provide reasonable notice before any planned suspension, except in cases of emergency.
10. Termination
You may stop using the Service at any time. We may terminate or suspend your access to the Service for material breach of these Terms, provided that we give you thirty (30) days' written notice and an opportunity to cure (where the breach is capable of cure).
Upon termination, you will have thirty (30) calendar days to retrieve your Customer Data from the Service. After that period, we will promptly delete your Customer Data in accordance with our data retention practices.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. RelayHub does not warrant that the Service will be error-free, secure, or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall RelayHub, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or the Service, regardless of the theory of liability.
RelayHub's total aggregate liability arising out of or related to these Terms shall not exceed the greater of (a) the amounts paid by you to RelayHub in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
The foregoing limitations do not apply to liability arising from gross negligence or intentional misconduct, or to liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless RelayHub and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.
14. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. For enterprise customers, the processing of personal data within Customer Data is governed by our Data Processing Addendum (DPA).
15. Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will provide at least thirty (30) days' notice by posting the updated Terms on this page and updating the “Last Updated” date above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
17. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable subscription agreement, constitute the entire agreement between you and RelayHub regarding the Service.
